Overview

Logros Advisory Partners, an independent UK corporate finance advisory firm, advised the shareholders of Genius Roof Solutions on its disposal to BCF Equity Partners.

The transaction enabled the Hall family to realise significant value from the business they had built over more than two decades while retaining a minority interest in its future success.

BCF Equity Partners is supporting the existing management team, led by Liz Cammack, Jemma Green and Julia White, to support the next phase of the company’s development.

A New Chapter for the Hall Family

“I’m incredibly proud of how our products help roofers to deliver a proper job, from the original Hallclip invention to SpeedFlash and newly launched SoakerFlash product. Genius Roof Solutions has been growing quickly and this investment marks an exciting new chapter. I’m delighted that BCF Equity Partners will be supporting the team as they take the business forward.”

– Jimmy Hall, Founder, Genius Roof Solutions

About Genius Roof Solutions

Genius Roof Solutions is a family-owned business based in Leyland, Lancashire, specialising in the development and supply of innovative roofing and solar installation products.

The company’s origins date back to 1996, when roofer Jimmy Hall invented Hallclip, a practical solution designed to make roofing installation simpler, safer and more efficient.

Building on that invention, the Hall family established the business in 2004 and developed a portfolio of specialist products, including Hallclip, SolarFlash, SpeedFlash and the newly launched SoakerFlash.

Today, Genius Roof Solutions supplies products through distribution networks serving customers across the UK and internationally. Its development reflects a longstanding commitment to product integrity, innovative problem-solving and understanding the needs of roofing professionals.

The company’s established market position and opportunities for further development provide a foundation for the next stage of its growth.

The Shareholders’ Objectives

After more than 20 years of developing Genius Roof Solutions, the Hall family reached an important stage in considering the future ownership and direction of the business.

The shareholders wanted to realise value from what they had created while ensuring that the company remained well positioned for continued success.

Three objectives were central to the transaction:

Realising Shareholder Value

Achieving an attractive financial outcome that recognised the value created through years of innovation, investment and business development.

Balancing Retirement and Business Continuity

Jimmy was ready to retire but wanted to ensure the business’s reputation for product integrity remained central to the long-term development of Genius Roof Solutions. With BCF’s acquisition the business remains independent and committed to maintaining its values.

Retaining an Interest in Future Growth
Enabling the family to realise value while maintaining an ownership interest and the opportunity to participate in the company’s future success.

These objectives required a transaction that balanced immediate shareholder liquidity with a retained stake, with a partner that shared the vision for the future ambitions of the business.

For family business owners considering succession, a partial shareholder exit or a complete business sale, understanding these different priorities is an important starting point.

Why Logros Advisory Partners?

The Hall family appointed Logros Advisory Partners to provide experienced, partner-led corporate finance advice during a significant ownership decision.

For owners of established family businesses, a successful transaction involves more than achieving an attractive headline valuation. The structure of the deal, the choice of investment partner and the implications for the shareholders’ future involvement can be equally important.

Logros’s approach centred on three priorities.

Understanding Shareholder Objectives

Taking time to understand what the family wanted to achieve financially and personally, including their desire to retain an interest in the business.

Providing Personal, Partner-Led Advice

Ensuring experienced senior advisors remained closely involved throughout the transaction, providing continuity, commercial judgement and guidance on important decisions.

Negotiating the Right Overall Outcome

Focusing on the combination of shareholder value, transaction structure and future opportunities rather than day 1 cash alone.

This approach reflected Logros’s commitment to helping business owners make informed decisions about the future of their companies and achieve outcomes aligned with their individual circumstances.

Logros’s Role in the Transaction

Logros Advisory Partners’ Managing Partner, Brian Higgins, provided corporate finance advice to the shareholders throughout the investment process.

The assignment combined strategic advice, commercial negotiation and transaction coordination, with particular emphasis on securing an outcome that reflected the Hall family’s objectives.

Strategic Advice and Investment Options

Logros advised the shareholders on their options for the future ownership of Genius Roof Solutions, including how the sale could provide shareholder liquidity while allowing the family to retain an interest in the business.

Negotiating the Transaction

Logros supported the shareholders during negotiations with BCF Equity Partners, focusing on the commercial terms needed to balance the family’s financial objectives with continued participation in future growth.

Managing the Transaction Process

Logros worked alongside the shareholders and their legal, property, tax and accounting advisors, helping coordinate the process, address commercial issues and progress the investment through to completion.

Throughout the transaction, Logros maintained a partner-delivered approach, providing the shareholders with direct access to experienced corporate finance advice throughout the process.

The Transaction Outcome

The sale to BCF Equity Partners marked an important milestone for Genius Roof Solutions and delivered a successful outcome for the Hall family.

Significant Value for the Shareholders

The transaction enabled the family to realise both substantial initial cash and overall value from the business they had established and developed over more than two decades.

Continued Participation in Future Success

The Hall family retain an interest in Genius Roof Solutions, allowing them to participate in the company’s future growth.

A Platform for Further Development

BCF Equity Partners’ involvement supports the existing management team, led by Liz Cammack, Jemma Green, and Julia White, as they build on the company’s established products, customer relationships and market opportunities.

The outcome illustrates how a transaction with a private office investor can provide an alternative to a complete business sale for owners seeking to realise shareholder value without relinquishing their entire interest in the company.

For shareholders considering business succession or an eventual exit, the transaction also demonstrates the importance of evaluating the overall structure and long-term implications of a deal, rather than focusing solely on the initial proceeds.

What the Shareholders Said About Working with Logros

“When you’ve spent more than 20 years building a family business, deciding on its future is one of the biggest decisions you’ll ever make.

Brian, Lee and the team at Logros Advisory Partners were outstanding throughout the process. They took the time to understand what we wanted to achieve as a family, helped us explore our options and guided us through every stage of the transaction.

Their experience, negotiating expertise and personal commitment made a real difference. They worked tirelessly to secure an excellent outcome, achieving significant value for our family while allowing us to retain an interest in the future success of the business.

I wouldn’t hesitate to recommend Logros to any business owner considering selling their business, bringing in an investment partner or planning their future exit.”
